1. Services
ToArtemii ("we", "I") provides custom software development and AI integration services to businesses. Specific deliverables are defined in individual project proposals.
2. Engagement
All projects begin with a written proposal containing:

- —Fixed price
- —Payment schedule
Work begins after the proposal is accepted and the upfront payment is received.
3. Payment
- —All payments processed via Lemon Squeezy
- —Standard terms: 50% upfront, 50% on delivery
- —Prices in USD unless otherwise specified
- —Late payments (over 14 days) accrue 1.5% monthly interest
4. Intellectual Property
Upon full payment, the client owns all custom code and deliverables. We retain rights to general methodologies, frameworks, and reusable components developed during the project.
5. Confidentiality
We maintain strict confidentiality regarding all client information. Mutual NDAs available upon request.
6. Warranties
We warrant that delivered software will perform as described in the proposal for 30 days post-delivery (longer for higher tiers). Bug fixes during this period are included.
7. Limitation of Liability
Our total liability is limited to the amount paid for the specific project. We are not liable for indirect, consequential, or business-loss damages.
8. Termination
Either party may terminate with 7 days written notice. Refunds follow our Refund Policy.
9. Governing Law
These Terms are governed by applicable international commercial law. Disputes resolved through good-faith negotiation first; arbitration if needed.
